These Terms of Service (“Terms”) govern your access to and use of LexiRealm’s website (lexirealm.com), learner application (app.lexirealm.com), and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
Eligibility and accounts
You must provide accurate registration information and keep your account credentials confidential. You are responsible for all activity under your account. Notify us promptly at hello@lexirealm.com if you suspect unauthorized access.
We may refuse registration or suspend accounts that violate these Terms or pose risk to the Services or other users.
Acceptable use
You agree not to misuse the Services. Without limitation, you must not: attempt to gain unauthorized access; interfere with or disrupt the Services; scrape or harvest data in violation of these Terms; upload malware; harass others; or use the Services for unlawful purposes.
We may investigate violations and cooperate with law enforcement where appropriate.
Intellectual property
The Services, including software, text, graphics, audio, branding, and other materials, are owned by LexiRealm or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial learning purposes unless otherwise agreed in writing.
You may not copy, modify, distribute, sell, or create derivative works from our materials except as permitted by law or with our prior written consent.
Subscriptions and payments
Some features may be free; others may be offered on a paid or subscription basis in the future. If we introduce paid plans, we will provide pricing, billing terms, and cancellation rules before you are charged. Unless stated otherwise at purchase, fees are non-refundable except where required by law.
We may change pricing or introduce new plans with reasonable notice where required.
No guarantee of outcomes
LexiRealm provides educational tools and content to support language learning. We do not guarantee specific test scores, certifications, employment outcomes, or fluency results. Individual results depend on many factors outside our control.
Third-party links and services
The Services may link to third-party websites or integrate third-party services. Those third parties have their own terms and privacy practices; we are not responsible for their content or practices.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEXIREALM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW (SUCH AS FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, WHERE APPLICABLE).
Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless LexiRealm and its affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms.
Suspension and termination
We may suspend or terminate access to the Services if you materially breach these Terms, if we are required to do so by law, or if we discontinue all or part of the Services with reasonable notice where practicable.
You may stop using the Services at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations, and governing law) will survive.
Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which LexiRealm primarily operates, without regard to conflict-of-law principles that would require applying another jurisdiction’s laws, except where mandatory consumer protection laws of your country require otherwise.
Before filing a claim, you agree to contact us at hello@lexirealm.com to attempt to resolve the dispute informally. If informal resolution fails, disputes may be brought exclusively in the courts located in that same jurisdiction, unless applicable law requires a different venue for consumers.
Changes to these terms
We may modify these Terms from time to time. We will post the updated Terms on the Site with a revised “Last updated” date. If changes are material, we will provide additional notice where appropriate. Continued use after the effective date constitutes acceptance of the updated Terms, except where applicable law requires explicit consent.
